Terms and Conditions

1) Promoter

1.1 The promoter is Silver Cloud HR Ltd of Stourwood House, Wrabness Road, Ramsey, Essex, Co12 5ND, United Kingdom (“Promoter”, “we”, “us”).

2) The Programme

2.1 The Client Referral Incentive Programme (the “Program”) allows eligible existing business clients of the Promoter to refer other organisations to the Promoter. If the referred organisation completes the qualifying action described in Section 6, the referrer may receive a digital gift voucher (the “Voucher”), subject to these Terms.

2.2 These Terms apply to all programme advertisements, referral links/codes, landing pages, emails, and related materials.

3) Definitions

“Participant” / “Referrer”: an eligible person who submits a referral under this Programme.

“Referred Organisation”: the organisation being referred.

“Referred Contact”: a person at the Referred Organisation whose contact details are provided to the Promoter (if applicable).

“Referral Link/Code”: the unique referral URL, form, or code supplied by the Promoter for this Program.

“Demo”: a sales/demo meeting (virtual or in-person) arranged and hosted by the Promoter (or by the Promoter together with a partner) in relation to the Promoter’s services.

“Qualifying Demo Attendance”: actual attendance at the Demo by at least one representative of the Referred Organisation, as recorded by the Promoter.

“Qualifying Referral”: a referral that meets all criteria in Section 6.

“Promotion Period”: the time window stated in Section 5.

4) Agreement to these Terms

4.1 By participating, you confirm that you have read and agree to these Terms.

4.2 If you participate on behalf of your employer, you confirm you have authority to do so and that your participation complies with your employer’s policies.

5) Promotion Period

5.1 The Program runs from 1 March 2026 9:00, UK time to 31st December 2026 11:59, UK time (the “Promotion Period”).

5.2 The Promoter may extend, pause, or withdraw the Programme in accordance with Section 14. Where we end the Programme early, we will honour Qualifying Referrals submitted before the end date, provided they otherwise meet these Terms.

6) Eligibility

6.1 You are eligible to participate if:

(a) you are aged 18 or over;

(b) you are based in the UK; and

(c) you are an existing or former business client of the Promoter at the time you submit the referral (as determined by the Promoter).

6.2 Employer permission: If you are an employee, officer, or contractor of an organisation, you must obtain your employer’s permission to participate and to accept any Voucher. You must comply with any employer gifts/hospitality, procurement, or conflicts policies.

6.3 The Promoter may require reasonable evidence of employer permission before issuing a Voucher.

6.4 You are not eligible if you are:

(a) an employee, contractor, or immediate family member of an employee/contractor of the Promoter; or

(b) participating in a way that breaches applicable law, regulation, or any employer policy.

7) How to make a referral

7.1 To participate, you must submit a referral using the Referral Link/Code during the Promotion Period.

7.2 You must provide accurate information and must not impersonate anyone or submit referrals that are misleading.

7.3 If you provide personal contact details of a Referred Contact, you must only do so where you have that person’s permission to share their details with the Promoter for the purpose of being contacted about a demo and relevant follow-up. (A safer alternative is to introduce the Promoter and ask the Referred Contact to book a demo directly via the Referral Link/Code.)

8) What counts as a Qualifying Referral

8.1 A referral is a Qualifying Referral only if ALL of the following occur:

(a) the referral is submitted via the Referral Link/Code during the Promotion Period;

(b) the Referred Organisation's employee headcount is a minimum of 100 EEs;

(c) the Referred Organisation is not, at the time the referral is submitted:

   (i) an existing customer/client of the Promoter; or

   (ii) already in active discussions, tender, procurement, proposal, contract negotiation, pilot, or implementation with the Promoter or Partner; or

   (iii) already recorded in the Promoter’s CRM/pipeline as a lead/opportunity;

(c) the Referred Organisation books a Demo using the Referral Link/Code (or a booking method explicitly approved by the Promoter in writing); and

(d) the Referred Organisation then attends the Demo (Qualifying Demo Attendance).

8.2 The Promoter will determine, acting reasonably, whether a referral is a Qualifying Referral, including by reference to CRM records, timestamps, and attendance records.

8.3 Where more than one person refers the same Referred Organisation, only the FIRST valid referral received by the Promoter (based on timestamped systems) will be eligible for a Voucher.

9) The Voucher (reward)

9.1 Reward: One Voucher worth £100 (GBP) per Qualifying Referral.

9.2 Voucher format: The Voucher will be issued as a digital gift voucher/e-gift card delivered to the email address you provide (or another method we specify).

9.3 Voucher restrictions:

(a) The Voucher is non-transferable and not redeemable for cash.

(b) No cash alternative is available.

(c) The Voucher may be subject to the issuer’s separate terms (e.g., expiry, redemption rules). The Promoter is not responsible for the third-party issuer’s acts/omissions.

9.4 Tax: You are responsible for any personal tax or reporting obligations arising from receiving the Voucher. If your employer requires a different handling of incentives, you should follow their policy.

10) Voucher fulfilment timing

10.1 We will issue the Voucher within 30 days after we verify Qualifying Demo Attendance and confirm the referral meets these Terms.

10.2 If we need additional information to validate eligibility (including employer permission), the 30-day period may be paused until validation is complete.

11) Limits

11.1 Limit per Referred Organisation: one Voucher total per Referred Organisation.

11.2 Abuse prevention: The Promoter may refuse to issue Vouchers (or may cancel participation) where it reasonably believes there has been fraud, manipulation, repeated self-referrals, bulk submissions, or other abuse.

12) Exclusions

12.1 No self-referrals: referrals for your own organisation (including any affiliate/entity you control) do not qualify.

12.2 Existing leads/opportunities: referrals do not qualify if the Referred Organisation is already known to the Promoter or Partner (including being in the Promoter’s or Partner's CRM/pipeline) or already in active discussions, as described in Section 8.1(b).

12.3 Public-sector/procurement conflicts: if the Voucher would create a conflict (actual or perceived) with procurement rules or public sector codes, the Promoter may (acting reasonably) decline to issue the Voucher. At the Promoter’s discretion, we may offer an alternative such as a charity donation of equivalent value (see Section 13.2).

13) Publicity, social posts, and testimonials

13.1 You are not required to post about the Programme. If you choose to post about the Programme or your experience, you must:

(a) be truthful, accurate, and not misleading;

(b) not disclose confidential information about the Promoter, your employer, or any third party; and

(c) make it clear you may receive a benefit for successful referrals (e.g., “I may receive a voucher if the referred organisation books and attends a demo”).

13.2 If your employer policy prohibits accepting gifts, you must not accept the Voucher. You may request (before fulfilment) that the Promoter instead makes a donation to a registered charity up to the Voucher value, at the Promoter’s discretion.

14) Changes, suspension, and termination

14.1 The Promoter may change these Terms or withdraw/suspend the Programme only where reasonably necessary (e.g., to correct errors, comply with law/regulatory guidance, prevent misuse, or reflect operational changes).

14.2 If changes are material, we will take reasonable steps to communicate them via appropriate channels. We will honour Qualifying Referrals submitted before the effective change date, unless doing so would be unlawful or would materially increase misuse risk.

15) Data protection and privacy

15.1 The Promoter will process personal data in accordance with applicable data protection laws and the Promoter’s privacy notice:
